1. Definitions and Interpretation
In these Terms and Conditions ("Agreement"), the following definitions apply unless the context requires otherwise:
- "Client" means the person, company, or organisation entering into an agreement with PRESENCIS LTD for the provision of Services.
- "Company" means PRESENCIS LTD, a company registered in Scotland with its registered office at 33 Kirkland Crescent, Dalry, KA24 5EA, Scotland.
- "Deliverables" means all software, documentation, designs, code, reports, and other materials produced by the Company in the course of providing Services.

- "Project" means the specific scope of work defined in a Statement of Work, proposal, or service agreement.

- "Statement of Work" or "SOW" means a document specifying Project scope, deliverables, timelines, fees, and other project-specific terms.
References to statutory provisions include amendments and re-enactments. Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa.
2. Agreement Formation
This Agreement governs the provision of Services by PRESENCIS LTD to the Client. An agreement is formed when: (a) the Client accepts a written proposal or Statement of Work issued by the Company; (b) the Client signs a service agreement; (c) the Client makes payment for Services following acceptance of a proposal; or (d) the Company commences work following written confirmation from the Client.
These Terms and Conditions apply to all Services unless expressly varied in writing in a signed agreement or Statement of Work. In the event of conflict between these Terms and a signed SOW, the SOW prevails to the extent of the conflict.
The Client warrants that it has authority to enter into this Agreement and that all information provided to the Company is accurate and complete.
3. Scope of Services
PRESENCIS LTD provides professional software development and related services including but not limited to:
- Custom SaaS (Software-as-a-Service) development including multi-tenant architecture, subscription management, and cloud deployment;
- Digital publishing and content distribution platform engineering for publishing industries and information sector organisations;
- Custom enterprise software solutions and prepackaged software customisation;
- Cloud-based document management system (DMS) development with compliance and lifecycle governance;
- API integration and software architecture design including RESTful APIs, GraphQL, and event-driven middleware;
- Content management systems (CMS) engineering with editorial workflow automation;
- Mobile and web application development including progressive web apps and cross-platform solutions;
- Software consulting, technical assessment, code review, and architecture advisory services.
The specific scope, deliverables, and acceptance criteria for each Project are defined in the applicable Statement of Work. Services not explicitly included in the SOW are excluded and may be subject to additional fees if requested by the Client.
4. Client Responsibilities
The Client agrees to:
- Provide timely access to information, personnel, systems, and resources necessary for the Company to perform Services;
- Designate a primary point of contact with authority to make project decisions and approve deliverables;
- Review and provide feedback on deliverables within agreed timeframes specified in the SOW;
- Ensure that all materials, data, and content provided to the Company do not infringe third-party intellectual property rights;
- Obtain necessary licences, permissions, and consents for third-party software, APIs, and services required for the Project;
- Maintain appropriate backup of Client-provided data and materials;
- Comply with all applicable laws and regulations in connection with the use of Deliverables;
- Provide accurate billing and contact information and notify the Company of any changes promptly.
Delays caused by the Client's failure to fulfil these responsibilities may result in adjusted timelines and additional costs. The Company shall not be liable for delays attributable to Client non-performance.
5. Project Methodology
PRESENCIS LTD employs a structured six-stage project methodology aligned with our controlled-growth engineering philosophy:
- Seed (Discovery): Requirements gathering, stakeholder interviews, technical assessment, and scope definition;
- Moisten (Architecture): System design, API contracts, data models, infrastructure planning, and security framework;
- Cover (Prototype): Proof-of-concept development, stakeholder validation, and iterative refinement;
- Root (Engineering): Core development, integration, testing framework implementation, and CI/CD pipeline setup;
- Harden (Stabilisation): Quality assurance, load testing, security assessment, documentation, and operational readiness;
- Transplant (Deployment): Production deployment, monitoring setup, knowledge transfer, and support framework activation.
Each stage includes defined deliverables and quality gates. Advancement to subsequent stages requires Client approval unless otherwise agreed in the SOW. The Company provides regular progress reports aligned with stage milestones.
6. Fees and Payment
Fees for Services are specified in the applicable proposal, SOW, or service agreement. Unless otherwise stated:
- Fixed-price Projects require payment according to milestone schedules defined in the SOW;
- Time-and-materials engagements are billed monthly in arrears based on actual hours worked at agreed rates;
- All fees are quoted exclusive of VAT, which shall be added at the applicable rate;
- Invoices are payable within 30 days of invoice date unless otherwise agreed;
- Late payments accrue interest at 8% per annum above the Bank of England base rate pursuant to the Late Payment of Commercial Debts (Interest) Act 1998;
- The Company may suspend Services if payment is overdue by more than 14 days following written notice;
- Expenses incurred in connection with the Project (travel, third-party licences, cloud infrastructure during development) shall be reimbursed by the Client with prior approval.
7. Change Management
Changes to the agreed Project scope, deliverables, or timeline must be documented in a written Change Request. The Company will assess the impact on fees, timeline, and resources and provide a Change Request estimate for Client approval before implementing changes.
No change shall be implemented without written approval from both parties. Verbal requests for changes do not constitute approved Change Requests. The Company is not obligated to perform work outside the agreed scope without an approved Change Request.
Minor adjustments within the spirit of the original scope may be accommodated at the Company's discretion without formal Change Request procedures, provided they do not materially affect timeline or fees.
8. Acceptance and Testing
Upon delivery of Deliverables, the Client shall have a review period of ten (10) business days (or as specified in the SOW) to test and evaluate the Deliverables against acceptance criteria defined in the SOW.
If the Deliverables meet the acceptance criteria, the Client shall provide written acceptance. If the Deliverables contain defects that prevent them from meeting acceptance criteria, the Client shall provide written notice detailing specific deficiencies. The Company shall remedy reported defects within a reasonable timeframe and resubmit for acceptance.
Failure to provide acceptance or rejection notice within the review period constitutes deemed acceptance. Deemed acceptance does not waive the Company's warranty obligations under this Agreement.
9. Intellectual Property Rights
Subject to full payment of all fees, the Client shall own all Intellectual Property Rights in bespoke Deliverables created specifically for the Client under this Agreement, including custom source code, documentation, and designs.
The Company retains ownership of: (a) pre-existing materials, tools, frameworks, libraries, and methodologies used in delivering Services ("Background IP"); (b) general knowledge, skills, and experience gained during the Project; (c) reusable components and patterns not specific to the Client's business logic.
The Company grants the Client a perpetual, non-exclusive, royalty-free licence to use Background IP incorporated into Deliverables to the extent necessary for the Client's use and operation of the Deliverables.
Third-party open-source components incorporated into Deliverables are subject to their respective licence terms, which shall be documented and communicated to the Client.
10. Confidentiality
Each party agrees to maintain the confidentiality of all Confidential Information received from the other party. "Confidential Information" includes business plans, technical data, source code, trade secrets, financial information, customer data, and any information marked or reasonably understood to be confidential.
Confidentiality obligations do not apply to information that: (a) is publicly available through no fault of the receiving party; (b) was already known to the receiving party before disclosure; (c) is independently developed without reference to Confidential Information; (d) is required to be disclosed by law or court order, provided the receiving party gives prompt notice to enable protective measures.
Confidentiality obligations survive termination of this Agreement for a period of five (5) years.
11. Warranties
The Company warrants that: (a) Services will be performed with reasonable skill and care by appropriately qualified personnel; (b) Deliverables will substantially conform to specifications in the SOW for a period of ninety (90) days following acceptance ("Warranty Period"); (c) to the Company's knowledge, Deliverables will not infringe third-party intellectual property rights.
During the Warranty Period, the Company shall remedy defects reported by the Client at no additional charge. Warranty remedies are limited to repair or replacement of defective Deliverables. The warranty does not cover defects caused by Client modifications, misuse, third-party software, or operating environment changes.
Except as expressly stated, all Services and Deliverables are provided without additional warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
Subject to the exclusions below, the total aggregate liability of the Company to the Client for all claims arising under or in connection with this Agreement shall not exceed the total fees paid by the Client under the applicable SOW in the twelve (12) months preceding the claim.
Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages including loss of profits, revenue, data, business opportunity, or goodwill, regardless of the cause of action or theory of liability.
Nothing in this Agreement excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable law.
13. Indemnification
The Client shall indemnify and hold harmless the Company against claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) Client-provided materials infringing third-party rights; (b) Client's use of Deliverables in violation of applicable law; (c) Client's breach of this Agreement; (d) modifications to Deliverables made by the Client or third parties not authorised by the Company.
The Company shall indemnify the Client against third-party claims that Deliverables infringe intellectual property rights, provided the Client promptly notifies the Company, allows the Company to control the defence, and provides reasonable assistance.
14. Data Protection
Both parties shall comply with applicable data protection legislation including UK GDPR and the Data Protection Act 2018. Where the Company processes personal data on behalf of the Client, the parties shall enter into a Data Processing Agreement specifying processing purposes, data categories, security measures, and sub-processor arrangements.
The Client is responsible for ensuring lawful basis for personal data provided to the Company for Project purposes. The Company's Privacy Policy at https://presencis.team/privacy-policy.html governs personal data collected through website interactions.
15. Termination
Either party may terminate this Agreement: (a) by mutual written agreement; (b) if the other party materially breaches and fails to remedy within thirty (30) days of written notice; (c) if the other party becomes insolvent, enters administration, or ceases trading.
The Client may terminate for convenience with thirty (30) days written notice, subject to payment for all work completed and committed resources up to the termination date.
Upon termination: (a) the Client shall pay all outstanding fees for work performed; (b) the Company shall deliver all completed Deliverables and work-in-progress; (c) each party shall return or destroy Confidential Information; (d) provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
16. Force Majeure
Neither party shall be liable for failure or delay in performance due to circumstances beyond reasonable control including natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, or supplier failures. The affected party shall notify the other promptly and use reasonable efforts to mitigate impact.
If force majeure continues for more than sixty (60) days, either party may terminate the affected SOW without liability beyond payment for work completed.
17. Non-Solicitation
During the Agreement and for twelve (12) months following termination, neither party shall directly solicit for employment any employee or contractor of the other party who was involved in the Project, without prior written consent. This restriction does not apply to general recruitment advertising not specifically targeted at the other party's personnel.
18. Subcontracting
The Company may subcontract portions of the Services to qualified third parties provided that: (a) the Company remains fully responsible for subcontractor performance; (b) subcontractors are bound by equivalent confidentiality and data protection obligations; (c) the Client is notified of significant subcontracting arrangements upon request.
19. Dispute Resolution
The parties shall attempt to resolve disputes through good-faith negotiation. If negotiation fails within thirty (30) days, either party may refer the dispute to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. If mediation fails within sixty (60) days of appointment, either party may pursue legal proceedings.
20. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of Scotland. The courts of Scotland shall have exclusive jurisdiction over all disputes arising from or relating to this Agreement, subject to the dispute resolution procedures above.
21. General Provisions
Entire Agreement: This Agreement, together with applicable SOWs and the Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements.
Amendment: No amendment is effective unless in writing signed by both parties.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
Assignment: The Client may not assign this Agreement without the Company's prior written consent. The Company may assign to an affiliate or in connection with a business transfer.
Notices: Notices shall be in writing and sent to the addresses specified in the SOW or to contact@presencis.team. Email notices are effective upon confirmed delivery.
Third Party Rights: No person other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999.

Schedule A: Service Level Expectations
Response Times
The Company will respond to Client communications within one (1) business day during normal business hours (Monday to Friday, 9:00 to 17:30 GMT, excluding Scottish public holidays). Urgent production issues reported through designated support channels will receive initial response within four (4) business hours for clients with active support agreements.
Progress Reporting
The Company provides progress reports at each project stage milestone including completed deliverables, upcoming activities, identified risks, and timeline status. Reports are delivered within three (3) business days of milestone completion.
Quality Standards
All Deliverables undergo internal quality review including code review, automated testing, and documentation verification before submission to the Client. Security-sensitive Deliverables receive additional security review including dependency vulnerability scanning.
Communication Channels
Project communication is conducted through agreed channels specified in the SOW, which may include email, project management platforms, video conferencing, and scheduled status meetings. The Client's designated project contact serves as the primary communication point.
Schedule B: Support and Maintenance
Warranty Support
During the ninety (90) day Warranty Period following acceptance, the Company provides bug fixes and defect remediation at no additional charge for issues that prevent Deliverables from meeting SOW specifications.
Extended Support
Extended support and maintenance agreements are available separately and may include: production monitoring, security patch management, performance optimisation, feature enhancements, and priority response times.
Support Exclusions
Support does not cover: issues caused by Client modifications, third-party software changes, infrastructure changes outside Company control, user training, or new feature requests outside original scope.
Service Credits
Where support response times are guaranteed under a support agreement and the Company fails to meet guaranteed response times, service credits may apply as specified in the support agreement.

Development Security
The Company follows secure development lifecycle practices including: threat modelling during architecture phase, secure coding standards, dependency vulnerability scanning, code review with security focus, and penetration testing for security-critical Deliverables.
Data Handling
Client data processed during Projects is stored on encrypted infrastructure with access restricted to assigned project personnel. Client data is deleted or returned upon Project completion per data retention agreements.
Incident Response
Security incidents affecting Client data are reported to the Client within twenty-four (24) hours of discovery with initial impact assessment and remediation plan.
Compliance Support
The Company provides reasonable assistance for Client compliance requirements including GDPR data processing documentation, security questionnaire responses, and audit support for Deliverables within scope of Services.
Schedule D: Payment Terms Detail
Invoice Procedures
Invoices are issued electronically to the Client's designated billing contact. Invoice details include: project reference, billing period, itemised hours or milestone description, applicable VAT, and payment instructions.
Disputed Invoices
The Client must notify the Company of invoice disputes within fourteen (14) days of receipt, specifying disputed amounts and reasons. Undisputed portions remain payable by the due date.
Currency
All fees are quoted and payable in British Pounds Sterling (GBP) unless otherwise agreed in writing.
Payment Methods
Payment is accepted via bank transfer to the account specified on the invoice. The Client bears responsibility for transfer fees charged by their bank.
